第一條五方合伙企業(營業執照號)第二條e方應在本協議生效之日退出合伙企業。該合伙企業以前由e方經營和管理(公司名稱)產生的債務,包括所欠各機構的貸款和稅費,由E方承擔。此后,甲方、乙方和丙方因持續經營管理而產生的債權、債務和應納稅稅費與E方無關。
本協議生效后第三條甲方、乙方、丙方和丁方繼續經營的,所有財產和債權歸甲方、乙方和丁方所有,甲方、乙方和丁方應共同向e方支付人民幣元整的提取補償費
第4條簽署本協議時,e方將
所有許可證印章(包括營業執照、網絡文化經營許可證、安全審計許可證、消防許可證、健康許可證、印章等)應移交給甲方、乙方、丙方和丁方第5條本協議生效后,e方應負責立即開業,并負責將承租人改為出租人,以便A、B、C和D四方繼續正常業務條6本協議生效后,所有許可證,包括營業執照、網絡文化運營許可證、安全審計許可證、消防許可證和健康許可證,均由e方負責,并以其名義變更為,由A方、B方、C方和D方繼續合伙經營
第七條甲、乙、丙、丁三方在簽訂《營業執照》、《網絡文化經營許可證》、《安全審計許可證》、《消防許可證》、《健康保險許可證》時,應向甲方支付人民幣元的退出補償費,并交由中間商保管至甲方經甲、乙、丙、丁三方書面授權后,中間人方可將款項交付給e方。如果中間人未經甲、乙、丙、丁三方事先書面授權向e方支付款項,則中間人應負責將款項返還給甲方,乙方、丙方和丁方立即支付。若因中介機構提前向甲方支付款項而導致甲方、乙方、丙方和丁方未能辦理許可證轉讓手續,給甲方、乙方、丙方和丁方造成損失,則中介機構還應承擔賠償責任。本條款對中介機構和交易后各方具有法律約束力中介機構簽署本協議
第8條違約責任
1.如甲方、乙方、丙方、丁方未能及時將因甲方撤離而產生的賠償金交給中介機構保管,則應承擔相應的賠償責任
2在退出合伙企業前,由e方經營管理。產生的債務包括欠各機構的貸款和稅費。如果e方未能償還,導致A、B、D、e方被迫支付該等資金,則e方應向A、B、D方承擔賠償責任>3.如果e方未能遵守本協議,則應提供所有許可證和印章(包括營業執照、網絡文化運營許可證、安全審計許可證、消防許可證、健康許可證和印章等)應移交給甲方、乙方、丙方和丁方保管,影響正常運營造成的所有損失應由e方承擔,e方應向甲方、乙方、丙方和丁方支付每逾期一天元的違約金e network應承擔賠償責任,賠償標準為自本協議簽署之日起每天人民幣元,自簽署之日起每天開始計算人民幣元is協議
