貨物應(yīng)具有防潮、防銹蝕、防震并適合于?的包裝，由于貨物包裝不良而造成的貨物殘損、滅失應(yīng)由賣(mài)方負(fù)責(zé)。賣(mài)方應(yīng)在每個(gè)包裝箱上用不褪色的顏色標(biāo)明尺碼、包裝箱號(hào)碼、毛重、凈重及“此端向上”、“防潮”、“小心輕放”等標(biāo)記。

The?packing?of?the?goods?shall?be?preventive?fromdampness,?rust,?moisture,?erosion?and?shock,?and?shall?be?suitable?for?transportation/?multipletransportation.?The?Seller?shall?be?liable?for?any?damage?and?loss?of?the?goodsattributable?to?the?inadequate?or?improper?packing.?The?measurement,?grossweight,?net?weight?and?the?cautions?such?as?"Do?not?stack?up?sidedown",?"Keep?away?from?moisture",?"Handle?with?care"shall?be?stenciled?on?the?surface?of?each?package?with?fadeless?pigment.

賣(mài)方應(yīng)將下列單據(jù)提交銀行議付/托收：

(1)標(biāo)明通知收貨人/收貨代理人的全套清潔的、已裝船的、空白抬頭、空白背書(shū)并注明運(yùn)費(fèi)已付/到付的海運(yùn)/聯(lián)運(yùn)/陸運(yùn)提單。

(2)　標(biāo)有合同編號(hào)、信用證號(hào)(信用證支付條件下)及裝運(yùn)嘜頭的商業(yè)發(fā)票一式?份;

(3)由?出具的裝箱或重量單一式?份;

(4)由?出具的質(zhì)量證明書(shū)一式?份;

(5)由?出具的數(shù)量證明書(shū)一式?份;

(6)保險(xiǎn)單正本一式?份(CIF交貨條件);

(7)?簽發(fā)的產(chǎn)地證一式?份;

(8)裝運(yùn)通知：賣(mài)方應(yīng)在交運(yùn)后?小時(shí)內(nèi)以特快專(zhuān)遞方式郵寄給買(mǎi)方上述第?項(xiàng)單證副本一式一套。

如買(mǎi)方提出索賠，凡屬品質(zhì)異議須于貨到目的口岸之日起?天內(nèi)提出，凡屬數(shù)量異議須于貨到目的口岸之日起?天內(nèi)提出，對(duì)所裝貨物所提任何異議屬保險(xiǎn)公司、輪船公司、其他有關(guān)運(yùn)輸機(jī)構(gòu)或郵遞機(jī)構(gòu)所負(fù)責(zé)者，賣(mài)方不負(fù)責(zé)任。

In?case?of?quality?discrepancy,?claim?should?be?filledby?the?Buyer?within?days?after?the?arrival?of?the?goods?atport?of?destination,?while?for?quantity?discrepancy,?claim?should?be?filled?bythe?Buyer?within?days?after?the?arrival?of?the?goodsat?port?of?destination.?It?is?understood?that?the?Seller?shall?not?be?liablefor?any?discrepancy?of?the?goods?shipped?due?to?causes?for?which?the?InsuranceCompany,?Shipping?Company,?other?Transportation?Organization?/or?Post?Officeare?liable.

13.風(fēng)險(xiǎn)轉(zhuǎn)移與所有權(quán)(Risk?and?Title)：

除非合同雙方另有約定，貨物毀損滅失的風(fēng)險(xiǎn)在交付后轉(zhuǎn)移給買(mǎi)方承擔(dān)。貨物的所有權(quán)在買(mǎi)方支付了所有合同價(jià)款之后方始轉(zhuǎn)移，但賣(mài)方保留所售軟件以及其他知識(shí)產(chǎn)權(quán)的所有權(quán)。

Unless?otherwise?provided?by?the?parties,?risk?ofdamage?to?or?loss?of?the?goods?shall?pass?to?purchaser?upon?delivery.?The?titleto?the?goods,?except?software?and?other?intellectual?property?right?which?areretained?with?the?Seller,?shall?pass?to?the?Buyer?upon?receipt?of?full?paymentby?the?Seller.

14.不可抗力(Force?Majeure)：

不可抗力是指不能預(yù)見(jiàn)、不能避免并不能克服的事件。因不可抗力所造成該方延遲或無(wú)法履行本合同中的義務(wù)，則該方不被視作違反本合同，無(wú)須向另一方負(fù)責(zé)，履行相關(guān)義務(wù)的期限可以相應(yīng)延長(zhǎng)。這些情形包括但不限于：天災(zāi)、戰(zhàn)爭(zhēng)、暴亂、火災(zāi)、爆炸、水災(zāi)、政府當(dāng)局行為。

Force?Majeure?is?defined?as?circumstances,?which?areunforeseeable，unavoidable?and?insuperable.?IfForce?Majeure?causes?delay?in?or?failure?of?a?Party’s?performance?of?itsobligations?pursuant?to?this?Contract,?such?Party?shall?not?be?considered?inbreach?of?this?Contract?or?be?liable?to?the?other?Party,?and?the?term?ofimplementation?of?such?Party’s?respective?obligation?may?be?extendedaccordingly.?The?aforementioned?circumstances?include,?but?shall?not?be?limitedto,?natural?disaster,?war,?unrest,?fire,?explosion,?flood,?acts?of?thegovernment..

由于上述情形而造成延遲或無(wú)法履行本合同規(guī)定義務(wù)的一方，應(yīng)立即通知另一方，并合理地盡其努力，將此類(lèi)情形對(duì)其履行義務(wù)的影響降至最低，而且在此類(lèi)情形結(jié)束之后，馬上就此書(shū)面通知另一方，并繼續(xù)完全履行本合同規(guī)定的義務(wù)。

When?a?Party’s?performance?of?its?obligations?pursuantto?this?Contract?is?delayed?or?rendered?impossible?due?to?the?aforementionedcircumstances,?such?Party?shall?immediately?inform?the?other?Party,?and?makeall?reasonable?efforts?to?minimize?the?effect?of?the?aforementionedcircumstances?on?the?performance?of?its?obligations.?Furthermore,?suchParty?shall?immediately?inform?the?other?Party?of?the?cessation?of?therespective?circumstances?and?continue?to?fully?perform?its?obligations?pursuantto?the?provisions?of?this?Contract..

15.遲交和違約金(Late?Delivery?and?LiquidatedDamages)：

(1)賣(mài)方延遲交貨，應(yīng)向買(mǎi)方按日支付延遲交貨部分對(duì)應(yīng)貨款金額的_______%的違約金;

(2)買(mǎi)方延遲付款，應(yīng)向賣(mài)方按日支付延遲付款金額的_______%的違約金;

(3)賣(mài)方延遲交貨或買(mǎi)方延遲付款15個(gè)工作日以上，對(duì)方有權(quán)終止合同，追索違約金，并有權(quán)以任何方式收回已交付的貨物或已支付的貨款，由此造成的全部損失由違約方承擔(dān)。

16.保證和責(zé)任(Warranty?and?Liability)：

(1)賣(mài)方保證貨物在交貨時(shí)符合規(guī)格，并保證在貨物啟用日期開(kāi)始?月內(nèi)，或在提貨或交貨后(以較早日期為準(zhǔn))?月內(nèi)，貨物不會(huì)出現(xiàn)材料或工藝上的缺陷。

(2)第(1)款所述的保證取決于以下的條款和條件：

(a)對(duì)于應(yīng)買(mǎi)方的要求而對(duì)貨物規(guī)格作出的變更和改動(dòng)所導(dǎo)致的貨物缺陷，賣(mài)方不承擔(dān)責(zé)任;

(b)對(duì)于任何由于合理磨損、有意損壞、疏忽大意、使用不當(dāng)、不遵循賣(mài)方指導(dǎo)、未經(jīng)賣(mài)方同意對(duì)貨物進(jìn)行錯(cuò)誤使用、改動(dòng)或修理而造成的缺陷，賣(mài)方不承擔(dān)責(zé)任;

(c)保證范圍不包括非賣(mài)方制造的零部件、材料或設(shè)備，在此類(lèi)情況下，買(mǎi)方將有權(quán)從該零部件、材料或裝備的制造商對(duì)賣(mài)方所作的保證中受益;

(3)如果買(mǎi)方希望就任何其聲稱(chēng)有缺陷的貨物提出索賠，買(mǎi)方必須在提貨或交貨之日起____天內(nèi)將該等索賠書(shū)面通知賣(mài)方。

(4)如果買(mǎi)方根據(jù)本條提出了有效的索賠，賣(mài)方可以選擇無(wú)償更換貨物，或者向買(mǎi)方退回貨物的全部或部分價(jià)款，此后賣(mài)方對(duì)買(mǎi)方不再負(fù)有任何責(zé)任。

(c)?The?warranty?does?not?extend?to?parts,accessories,?materials?or?equipment?that?was?not?manufactured?by?theSeller.?With?regard?to?any?one?part,?accessory,?material?or?piece?ofequipment,?the?Buyer?shall?have?the?right?of?benefit?with?respect?to?thecorresponding?warranty?provided?by?the?manufacturer?to?the?Seller;

(3)?If?the?Buyer?wishes?to?claim?compensation?for?anyGoods?that?it?claims?are?defective,?the?Buyer?shall?notify?the?Seller?inwriting?of?the?claim?for?compensation?within?______?days?of?collection?ordelivery.

(4)?In?the?event?that?the?Buyer?issues?a?valid?claimfor?compensation?based?on?Article?16,?the?Seller?may?choose?to?exchange?theGood(s)?free?of?charge,?or?may?elect?to?refund?all?or?a?portion?of?the?paymentprice?of?the?Good(s)?to?the?Buyer.?Once?this?is?done,?the?Seller?shall?not?haveany?further?liability?to?the?Buyer.

17.責(zé)任限制條款(Limitation?of?Liability)：

不論合同其它條款另有規(guī)定，不論索賠是根據(jù)合同還是侵權(quán)(包括重大過(guò)失)，也不論索賠是因?yàn)樨浳锘蜍浖闹圃臁N(xiāo)售、許可、交付、修理、更換或使用所造成的，賣(mài)方對(duì)買(mǎi)方所遭受的任何損失、損壞所承擔(dān)的損害賠償責(zé)任(包括違約金)不超過(guò)賣(mài)方實(shí)際從買(mǎi)方收受的貨款的100%。如果發(fā)生賣(mài)方違約的情形，買(mǎi)方應(yīng)該采取任何必要的措施減損損害的擴(kuò)大。

不論合同其它條款另有規(guī)定，合同任何一方對(duì)另一方的收入利潤(rùn)的減少、商業(yè)機(jī)會(huì)的喪失以及商譽(yù)的損失和任何間接的損失不負(fù)賠償責(zé)任。

Notwithstanding?any?other?provision?in?this?contract,the?total?liability?(including?for?liquidated?damages)?of?the?Seller?for?anyclaim,?loss?or?damage,?whether?in?contract,?tort?(including?gross?negligence),or?otherwise,?arising?out?of,?connected?with,?or?resulting?from?themanufacture,?sale,?license,?delivery,?repair,?replacement?or?use?of?any?goodsor?software?shall?not?exceed?100%?of?the?price?received?by?the?Seller?from?theBuyer.?If?the?Seller?is?in?breach?of?this?contract,?the?Buyer?shall?take?anynecessary?measures?to?mitigate?its?loss?and?damages.

Notwithstanding?any?other?provision?in?this?contract,neither?party?shall?be?liable?to?the?other?party?for?any?loss?of?profit?orrevenues,?loss?of?opportunity,?loss?of?goodwill?or?reputation,?and?/or?anyindirect?or?consequential?losses?whatsoever.

18.爭(zhēng)議解決(Settlement?of?Disputes)：

凡因本合同引起的或與本合同有關(guān)的任何爭(zhēng)議，如果協(xié)商不能解決，應(yīng)提交華南國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按照申請(qǐng)仲裁時(shí)該會(huì)實(shí)施的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對(duì)雙方均有約束力。

Any?dispute?arising?from?or?in?connection?with?theSales?Contract?shall?be?settled?through?friendly?negotiation.?In?case?nosettlement?can?be?reached,?the?dispute?shall?then?be?submitted?to?South?ChinaInternational?Economic?and?Trade?Arbitration?Commission?(SCIA)?for?arbitrationin?accordance?with?its?rules?in?effect?at?the?time?of?applying?for?arbitration.The?arbitral?award?is?final?and?binding?upon?both?parties.

19.準(zhǔn)據(jù)法(Governing?Law)：

本合同之準(zhǔn)據(jù)法為中華人民共和國(guó)法律，但排除沖突法規(guī)則。

The?laws?of?the?People’s?Republic?ofChina,excluding?its?choice?of?law?rules,?shall?govern?this?Contract.

20.通知(Notices)：

所有通知用?文寫(xiě)成，并按照如下地址用傳真/電子郵件/快件送達(dá)給各方。如果地址有變更，一方應(yīng)在變更后?日內(nèi)書(shū)面通知另一方。
